Terms and Conditions

1. Definitions

“Additional Services and Materials” refers to any additional materials or services that the Client may request as part of the Order, which will be charged as an Additional Sum.

“Additional Sums” means the Price for the provision of Additional Services and Materials to be agreed between the Client and WTT.

“the Brochure” means the WTT brochure.

“the Client” refers to the party placing the order.

“the materials” refers to the teaching materials referred to in the Brochure.

“the Order” refers to the agreement between WTT and the Client for the supply of Materials and Services in accordance with the order form on the back page of the Brochure.

“the Personnel” refers to the personnel provided by WTT to the Client for the provision of Services.

“the Price” the price as quoted in the Brochure for the Materials and Service required.

“the Services” refer to the services to be provided by WTT to the Client referred to in the Brochure and agreed in writing between WTT and the Client being the subject matter of the Order.

“WTT” Worldwide Travel Training Limited.

2. Supply of Services

2.1 WTT shall provide the Services to the Client subject to these conditions of business. Any variation thereto shall only be valid if confirmed in writing by WTT. Where an order by the Client to WTT is made subject to the Client’s conditions of purchase those conditions shall not form part of the Order or any agreement between the Client and WTT.

2.2 The Order including the WTT Conditions of Business constitutes the entire agreement between WTT and the Client.

2.3 The Services shall be provided in accordance with the Brochure, WTT may at anytime without notifying the Client make any changes to the Services which are necessary to comply with any applicable safety or other statutory requirements, or which do not materially affect the nature or quality of the Services.

2.4 In the event that WTT cannot carry out any provision of the Order for any reason beyond WTT’s control including (without limitation) force majeure, civil commotion, hostilities, terrorist activity, strikes and Government action then WTT may by notice proceed in accordance with clause * or in any other way WTT in its absolute discretion considers reasonable.

3. Personnel

3.1 If WTT Personnel work within the Clients premises the Client shall ensure that the Personnel shall be provided with a desk, chair and sufficient working material to satisfactorily perform the task assigned.

3.2 The Client undertakes to co-operate fully with WTT and the Personnel in all matters relating to the Services. In particular the Client shall:-

3.2.1 Promptly respond to all WTT communications relating the Services;

3.2.2 Permit WTT and/or Personnel for the purpose of performing the Services such access to premises owned or occupied by the Client and such use of facilities available on such premises as WTT and/or the Personnel require:

3.2.3 Ensure appropriate staff of the Client are at all reasonable times available to liaise with WTT and/or the Personnel on matters relating to the Services.

3.3 The Client undertakes not to employ nor otherwise retain the services of any of the Personnel either directly or indirectly or make any offer so to do either during the provision of the Services or within 12 months thereafter (howsoever termination of the Services may occur) without WTT’s prior written consent failing which the Client will be liable to WTT for a recruitment fee in respect of such personnel in each case equal to 50% of the emoluments paid to such Personnel in the first year of their employment.

4. Payment

4.1 Subject to any special terms agreed, the Client shall pay WTT the Price as quoted in the Brochure plus an Additional Sums which are agreed between the Client and WTT for the provision of the Services.

4.2 Payment in full of the Price must be made within 30 days of the date of each invoice. The Client shall not be entitled to withhold payment either wholly or in part when it becomes due on any grounds whatsoever and all the Client’s common law rights of defence, set-off and/or abatement are expressly excluded.

4.3 WTT shall be entitled to charge interest on any part of the Price or any other sum overdue from the Client calculated on a daily basis at the annual rate of 5% above the Base Rate of Barclays Bank PLC for the time being in force until such time as payment in full of all monies due in respect of the Services is made by the Client.

5. Price

5.1 The Price shall be that quoted in the Brochure. Additional Services and Materials may be supplied at rates to be agreed [all prices shall be exclusive of any applicable value added tax].

6. Intellectual Property Rights

6.1 The property and any copyright or other intellectual property rights in any material produced by WTT belong to WTT. WTT shall grant to the Client a non-exclusive non-transferable licence to use such material for the provision of the Services.

7. Warranties and Liabilities

7.1 The Client warrants that any material provided to it by WTT in the provision of the Services shall not be photocopied without the express written consent of WTT.

7.2 WTT shall have no liability to the Client for any loss, damage, costs, expenses or other claims for compensation arriving from the late arrival or non-arrival of Students, or any other fault of the Client.

7.3 WTT shall not be liable to the Client or be deemed to be in breach of the Order by reason of any delay in performing or any failure to perform, any of WTT’s obligations in relation to the Services, if the delay for failure was due to any cause beyond WTT’s reasonable control subject to clause 6.

8. Reorganisation and Cancellation

8.1 WTT reserves the right to reorganise training days in the event of Personnel sickness or injury.

8.2 WTT may terminate the Order forthwith if the Client:-

8.2.1 Fails to pay the Price or any Additional Sums which have been agreed between the parties by the due date;

8.2.2 Commits a breach of these Conditions other than a breach falling within 8.2.1 above.

8.3 If the Client cancels the Order after Materials have been posted, the Price of the Materials shall remain due and owing and if already paid shall not be refunded.

8.4 If the Client cancels training within seven days of the date stated on the WTT invoice, a full refund will be made.

8.5 If the Client cancels training after seven days of the date stated on the WTT invoice, no refund will be offered.

8.6 In the event of cancellation WTT shall not be liable for any direct or indirect, special or consequential loss, loss of revenue or profit or any other expenses, costs, liabilities, losses, claims, proceedings and /or damages of whatever nature arising from the cancellation of the Order.

9. Third Party Rights

9.1 Nothing in this Agreement is intended to confer on any person any right to enforce any terms of this Agreement which that person would not have had but for the Third Party Right Act.

10. Law of Contract

10.1 The Order shall in all aspects be governed by and constructed according to the laws of England. All disputes arising from or in connection with the Order are to be referred to the English Courts who shall have exclusive jurisdiction to hear and determine proceedings in respect thereof.

11. Home Learning

11.1 All of our home learning courses can be bought by unit.

11.2 Units can be completed in any order.

11.3 Candidates can complete any number of units. If a variety of units is completed (a minimum of 3) by not all units, candidates will receive a bronze certificate. If all units are completed candidates will receive a silver certificate. If all units, as well as the final assessment day, are completed the candidate will receive a gold certificate.

11.4 Once a unit has been purchased we are unable to offer any refund

11.5 WTT will arrange final assessment days according to demand and reserve the right to re-arrange this day.

11.6 In regards to one-to-ones with industry experts. This will take place only in selected locations. Worldwide Travel Training Ltd is not liable for any travelling costs.

12. Delivery of Home Learning Material

12.1 Home Learning materials will be sent, by email, using a PDF file. You will need Acrobat to run this. If another means is required the candidate should contact Worldwide Travel Training.

12.2 Please allow up to 48 hours for course materials to arrive

12.3 All portfolio work will be required to email to the candidates tutor. If another means is required the candidates should contact Worldwide Travel Training.

12.4 If candidates require a hard copy of any materials, an additional postage charge will be required. Course materials will be sent via recorded post and will be the responsibility of the candidate upon receiving.

13. Data Protection

13. Data protection 
You agree that, in relation to any information we may hold on you from time to time we may:

13.1 use your information to provide the Materials to you and otherwise perform our obligations and enforce our rights under these Terms and Conditions;

13.2 use your information to inform you about our other courses, products or services which may be of interest to you;

13.3 You have a legal right to stop us from contacting you, or giving your details to others for direct marketing purposes, by writing to us.
